This agreement is made on the purchase date between the buyer (“Licensee”) and djdusty (“Licensor”), on behalf of the producer(s) credited on the beat (“Producer”), for that instrumental (“Composition”). The tier you buy determines whether section A, B or C applies. Section D applies to every tier.

A. MP3 lease — non-exclusive

1. Grant. You may record vocals over the Composition, in whole or in part and substantially unaltered, to create one new recording (“Master Recording”). Others may license the same Composition.
2. Limits. Up to 100,000 combined streams, 2,000 paid downloads or physical copies, one music video (monetised or not), and unlimited non-profit performances. Radio broadcast and synchronisation to film, television, advertising or video games are not included.
3. Upgrade. Once any limit is reached, purchase a higher tier or the exclusive before using the Master Recording further.

B. WAV lease — non-exclusive

1. Grant. You may record vocals over the Composition, delivered as an uncompressed WAV file, in whole or in part and substantially unaltered, to create one Master Recording. Others may license the same Composition.
2. Limits. Up to 500,000 combined streams, 5,000 paid downloads or physical copies, one music video (monetised or not), unlimited non-profit and for-profit performances, and broadcast on up to two radio stations. Synchronisation to film, television, advertising or video games is not included.
3. Upgrade. Once any limit is reached, purchase the exclusive before using the Master Recording further.

C. Exclusive

1. Grant. The exclusive right to record vocals over the Composition and to reproduce, distribute, stream, perform and broadcast the Master Recording without limit, including synchronisation to online video, film, television and video games.
2. Stems. Where project files exist, the separated tracks (stems) of the Composition are included.
3. Prior leases. Non-exclusive leases granted before your purchase remain valid on their own terms, and you hold Licensor harmless for their use. From the purchase date, Licensor will not license the Composition to anyone else and withdraws it from sale.

D. General terms — every tier

1. Worldwide. This licence applies in every country. Streams, sales and performances count towards the limits wherever in the world they happen.
2. Credit. Credit the producer(s) named on the licence, by name and as producer, in writing wherever credits appear, and verbally where they cannot be written.
3. Composition. The Producer retains 100% of the composition copyright in the instrumental and of its royalties. You retain 100% of the lyrics, vocal melodies and other material you write, and of their royalties. Where several producers are credited, the Producer share is divided equally among them.
4. Master royalties. Licensor takes no share of the Master Recording’s royalties, unless otherwise agreed in writing when an exclusive is invoiced.
5. Ownership. You own the Master Recording but not the Composition, and may not resell or re-license the Composition, register it alone with a content identification system, or distribute it without vocals.
6. Samples. You are responsible for clearing any third-party samples.
7. Price. Prices are in US dollars. Any currency conversion or fees charged by your bank are your own.
8. Delivery and cancellation. Files are delivered immediately through a download link shown after payment and emailed to the address given at checkout. By purchasing, you ask for immediate delivery and accept that any right to cancel the purchase, such as the 14-day withdrawal right in the EU and UK, ends once the files are available.
9. Payment. This licence is granted for the amount paid. If the payment is reversed, fully refunded or charged back, the licence ends, and any further use of the Master Recording is an infringement.
10. Entire agreement. This licence is non-transferable, covers only the Composition purchased, and is the entire agreement between the parties concerning it. It binds both parties and their successors.
11. Governing law. This licence is governed by the laws of the United States and of the state in which Licensor is based. Nothing in it removes a right you have under the consumer law of your own country that cannot be waived. If this licence is translated, the English text governs.
